Important: This is a starter terms-of-service document. Before publishing, have it reviewed by a Canadian commercial lawyer to ensure it fits your business and provincial laws.
These Terms of Service ("Terms") govern your use of the Partsgram website (partsgram.com) and any purchase of products or services from Partsgram. By placing an order or using our site, you agree to these Terms.
We make reasonable efforts to ensure product information, pricing, and availability are accurate. However, errors occasionally occur. We reserve the right to correct errors, refuse or cancel orders based on inaccurate pricing, and change prices at any time. Prices are in Canadian dollars and exclude applicable taxes unless noted.
Placing an order is an offer to buy. We confirm orders by email once we've accepted them and processed payment. Payment is by credit card (through Stripe), by purchase order (institutional buyers), or on net-30 terms for approved business accounts.
Approved net-term accounts agree to pay invoices within 30 days of invoice date. Overdue accounts may be charged interest at 1.5% per month (19.56% per annum) and suspended until brought current.
Delivery times are estimates, not guarantees. Risk of loss transfers to you upon delivery to the carrier (FOB shipping point) unless otherwise agreed in writing. See our Shipping & Returns page for details.
Stock items may be returned within 30 days per our Returns Policy. Custom fabrication, cut-to-size, and special-order items are non-returnable. Manufacturer warranties pass through to you as the buyer; warranty length and terms vary by part and manufacturer.
Partsgram's liability is limited to the purchase price of the products. We are not liable for consequential, incidental, or indirect damages (lost revenue, downtime, spoiled inventory, etc.) to the maximum extent permitted by law.
Custom fabrication work requires approval of a CAD drawing before production begins. Changes requested after drawing approval may result in additional fees and extended lead times. Fabrication orders are non-cancellable once production begins. A 50% deposit may be required on orders over $5,000.
You agree not to use our website to: violate any law, infringe our intellectual property, upload malicious code, scrape or harvest data, impersonate another person, or interfere with site operation. We may suspend or terminate access for violations.
All content on this site — product descriptions, images, logos, design — belongs to Partsgram or its licensors and is protected by Canadian and international copyright law. You may not reproduce, distribute, or create derivative works without our written permission.
Brand names, model numbers, and trademarks of equipment manufacturers are used for reference only to indicate fitment. Use of these marks does not imply affiliation, endorsement, or authorization by those manufacturers.
These Terms are governed by the laws of [Province where you're based], Canada. Disputes will be resolved in the courts of that province.
We may update these Terms from time to time. The updated version will be posted on this page. Continued use of the site after changes constitutes acceptance of the new Terms.
